These Terms of Service ("Terms") govern your access to and use of TrueCheck's ("TrueCheck," "we," "us," or "our") website, APIs, SDKs, documentation, and related services. Please read them carefully before using our platform.

1. Acceptance of Terms

By accessing or using TrueCheck's website, application programming interfaces ("API"), software development kits ("SDKs"), documentation, or any related services (collectively, the "Services"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms") and our Privacy Policy, available at /privacy-policy. If you are accessing or using the Services on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms, in which case "you" and "your" shall refer to that entity. If you do not agree to these Terms, you must immediately discontinue use of the Services.

2. Description of Service

TrueCheck provides an SMS-based phone verification and authentication platform, including APIs, SDKs, dashboards, analytics, and related tools that enable developers and businesses to verify end-user phone numbers and deliver one-time passcodes. The Services may include free trials, paid subscription plans, and enterprise offerings. TrueCheck reserves the right to modify, update, or discontinue any part of the Services at any time, with or without notice. We will make commercially reasonable efforts to notify you of material changes that affect your use of the Services.

3. User Registration and Account Security

To access certain features of the Services, you must register for an account and provide accurate, complete, and current information. You are solely responsible for maintaining the confidentiality of your account credentials, including API keys, passwords, and authentication tokens. You agree to immediately notify TrueCheck at support@truecheck.co of any unauthorized access to or use of your account. TrueCheck shall not be liable for any loss or damage arising from your failure to safeguard your account credentials. We reserve the right to suspend or terminate accounts that contain inaccurate information, remain inactive for an extended period, or otherwise violate these Terms.

4. Acceptable Use; Prohibited Conduct

You agree to use the Services only for lawful purposes and in strict compliance with these Terms and all applicable local, state, national, and international laws and regulations, including but not limited to the Telephone Consumer Protection Act (TCPA), CAN-SPAM Act, and any applicable data protection regulations. You shall not: (a) send unsolicited messages, spam, or communications to individuals who have not provided proper consent; (b) engage in fraud, phishing, social engineering, or any deceptive practices; (c) harass, threaten, defame, or cause harm to any individual or entity; (d) transmit malware, viruses, worms, or any destructive or malicious code; (e) attempt to gain unauthorized access to TrueCheck's systems, networks, or other users' accounts; (f) reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Services; (g) circumvent, disable, or interfere with rate limits, security measures, or access controls; (h) use the Services to build a competing product or service; (i) sublicense, resell, or redistribute access to the Services without TrueCheck's prior written consent; or (j) use the Services in any manner that could damage, disable, overburden, or impair our infrastructure or interfere with any other party's use of the Services. Violation of this section may result in immediate suspension or termination of your account without notice or refund.

5. Fees and Payment

Certain features of the Services require payment of fees. You agree to pay all fees associated with your selected plan in accordance with the pricing published on our website or as otherwise agreed in writing. All fees are quoted in United States Dollars (USD) unless otherwise specified. Fees are non-refundable except as required by applicable law or as explicitly stated in a separate written agreement. TrueCheck reserves the right to change pricing at any time upon thirty (30) days' advance written notice. Continued use of the Services after a pricing change constitutes your acceptance of the new fees. If you fail to pay any amounts when due, TrueCheck may suspend or terminate your access to the Services and may pursue collection of outstanding balances, including reasonable attorneys' fees and costs. You are responsible for all applicable taxes, duties, and levies associated with your use of the Services, excluding taxes based on TrueCheck's net income.

6. Intellectual Property Rights

TrueCheck and its licensors retain all right, title, and interest in and to the Services, including all software, algorithms, interfaces, documentation, trademarks, trade names, logos, and other intellectual property rights embodied therein. These Terms do not grant you any right, license, or interest in any TrueCheck trademarks, logos, or brand features. You may not use TrueCheck's name, trademarks, or logos without our prior written consent. All rights not expressly granted herein are reserved by TrueCheck. Any feedback, suggestions, or ideas you provide regarding the Services may be used by TrueCheck without obligation or compensation to you.

7. User Content and Data

You retain all ownership rights in any data, content, or information that you submit, upload, or transmit through the Services ("User Content"). By using the Services, you grant TrueCheck a limited, non-exclusive, worldwide, royalty-free license to use, process, store, and transmit your User Content solely as necessary to provide, maintain, and improve the Services. You represent and warrant that you have all necessary rights and permissions to submit your User Content and that such content does not infringe or violate any third party's intellectual property rights, privacy rights, or any applicable law. TrueCheck does not claim ownership of your User Content and will handle it in accordance with our Privacy Policy.

8. Privacy

Your privacy is important to us. Our collection, use, and disclosure of personal information is governed by our Privacy Policy, available at /privacy-policy. By using the Services, you acknowledge that you have read and understood our Privacy Policy and consent to the practices described therein. You are responsible for ensuring that your use of the Services complies with all applicable privacy and data protection laws, including obtaining any necessary consents from end users whose data you process through the Services.

9. Third-Party Services

The Services may contain links to or integrate with third-party websites, applications, or services ("Third-Party Services"). TrueCheck does not control and is not responsible for the content, privacy policies, or practices of any Third-Party Services. Your use of Third-Party Services is at your own risk and subject to the terms and conditions of those third parties. TrueCheck makes no representations or warranties regarding Third-Party Services and shall not be liable for any loss or damage arising from your use of or reliance on such services.

10. Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, TRUECHECK DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND TITLE. TRUECHECK DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED FROM TRUECHECK OR THROUGH THE SERVICES SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS. YOU ASSUME ALL RISK FOR YOUR USE OF THE SERVICES.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL TRUECHECK, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS OPPORTUNITIES, OR ANTICIPATED SAVINGS, ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF TRUECHECK HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TRUECHECK'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING UNDER OR RELATED TO THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO TRUECHECK IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED UNITED STATES DOLLARS ($100.00). THE LIMITATIONS IN THIS SECTION APPLY EVEN IF ANY REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

12. Indemnification and Duty to Defend

You agree to indemnify, defend, and hold harmless TrueCheck and its affiliates, officers, directors, employees, agents, successors, and assigns from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or relating to: (a) your use of or access to the Services; (b) your violation of these Terms or any applicable law or regulation; (c) your User Content; (d) your violation of any third party's rights, including intellectual property, privacy, or publicity rights; or (e) any dispute between you and a third party relating to the Services. TrueCheck reserves the right, at your expense, to assume the exclusive defense and control of any matter subject to indemnification, in which case you agree to cooperate with TrueCheck's defense of such claim.

13. Mandatory Arbitration; Class Action Waiver

ANY DISPUTE, CLAIM, OR CONTROVERSY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES, INCLUDING THE DETERMINATION OF THE SCOPE OR APPLICABILITY OF THIS AGREEMENT TO ARBITRATE, SHALL BE DETERMINED BY BINDING ARBITRATION ADMINISTERED BY THE AMERICAN ARBITRATION ASSOCIATION ("AAA") IN ACCORDANCE WITH ITS COMMERCIAL ARBITRATION RULES. THE ARBITRATION SHALL BE CONDUCTED BY A SINGLE ARBITRATOR IN WILMINGTON, DELAWARE. JUDGMENT ON THE AWARD RENDERED BY THE ARBITRATOR MAY BE ENTERED IN ANY COURT HAVING JURISDICTION THEREOF. YOU AGREE THAT ANY ARBITRATION SHALL BE CONDUCTED ON AN INDIVIDUAL BASIS AND NOT AS A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU EXPRESSLY WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION. If any court or arbitrator determines that the class action waiver set forth in this section is void or unenforceable for any reason, or that arbitration can proceed on a class basis, then the arbitration provision shall be deemed null and void in its entirety, and the parties shall be deemed to have not agreed to arbitrate disputes. Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement or misappropriation of intellectual property rights.

14. Termination

Either party may terminate these Terms at any time by providing written notice to the other party. You may terminate your account by contacting support@truecheck.co or through your account dashboard. TrueCheck may suspend or terminate your access to the Services immediately and without prior notice if: (a) you breach any provision of these Terms; (b) you engage in conduct that TrueCheck determines, in its sole discretion, to be harmful to other users, third parties, or TrueCheck; (c) TrueCheck is required to do so by law; or (d) TrueCheck decides to discontinue the Services. Upon termination, your right to access and use the Services shall cease immediately. TrueCheck may delete your account data in accordance with our data retention policies. Sections that by their nature should survive termination shall survive, including but not limited to Sections 6, 10, 11, 12, 13, and 18.

15. Modifications to Terms

TrueCheck reserves the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last Updated" date at the top of this page. We may also provide notice via email or through the Services. Your continued use of the Services after any such modifications constitutes your acceptance of the revised Terms. If you do not agree to the modified Terms, you must stop using the Services and terminate your account. It is your responsibility to review these Terms periodically for changes.

16. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, shall be severed from these Terms. The invalidity or unenforceability of any provision shall not affect the validity or enforceability of the remaining provisions, which shall continue in full force and effect.

17. Entire Agreement

These Terms, together with the Privacy Policy and any other agreements or policies referenced herein, constitute the entire agreement between you and TrueCheck with respect to the Services and supersede all prior or contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Services. No waiver of any provision of these Terms shall be deemed a further or continuing waiver of such provision or any other provision, and TrueCheck's failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

18. Governing Law and Venue

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of laws principles. Subject to the arbitration provisions in Section 13, any legal action or proceeding arising under these Terms shall be brought exclusively in the state or federal courts located in Wilmington, Delaware, and you hereby consent to the personal jurisdiction and venue of such courts. The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms.

20. SMS Terms and Conditions

By opting in to TrueCheck's SMS services, you consent to receive text messages from TrueCheck related to phone number verification, one-time passcodes, account notifications, and service alerts. Message frequency varies based on your usage of the Services, up to 12 messages per month. Message and data rates may apply depending on your mobile carrier and plan. Opt-In: By providing your phone number and consenting to receive SMS messages through the Services or by texting "TRUE" to our designated short code, you expressly opt in to receive SMS communications from TrueCheck. Opt-Out: You may opt out of receiving SMS messages at any time by texting "STOP" to the number from which you received the message. Upon receiving your opt-out request, we will send a confirmation message, and you will no longer receive SMS messages from TrueCheck unless you re-opt in. Re-Opt-In: To rejoin and resume receiving SMS messages after opting out, text "TRUE" to our designated short code. Help: For assistance, text "HELP" to our designated short code or contact us at support@truecheck.co. Carriers are not liable for delayed or undelivered messages. TrueCheck respects your privacy and will not share your phone number or SMS opt-in data with third parties for marketing purposes.
