Terms of Service

These Terms of Service ("Terms") govern your access to and use of TrueCheck Inc.'s ("TrueCheck," "we," "us," or "our") website, APIs, SDKs, documentation, and related services. Please read them carefully before using our platform.

Acceptance of Terms

By accessing or using TrueCheck's website, API, SDKs, documentation, or any related services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms. If you do not agree to these Terms, you may not use the Services.

Account Registration

To use our API, you must create an account and provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your API keys and account credentials. You agree to notify us immediately of any unauthorized use of your account. TrueCheck reserves the right to suspend or terminate accounts that provide inaccurate information or violate these Terms.

API Usage

TrueCheck grants you a limited, non-exclusive, non-transferable, revocable license to access and use our API in accordance with our documentation and these Terms. You agree to use the API only for lawful purposes and in compliance with all applicable laws and regulations. Rate limits, usage quotas, and feature availability may vary by plan. We reserve the right to modify, suspend, or discontinue any aspect of the API at any time with reasonable notice.

Acceptable Use

You agree not to use the Services to: send unsolicited messages or spam; engage in fraud, phishing, or any deceptive practices; harass, abuse, or harm any individual; transmit malware, viruses, or any destructive code; attempt to gain unauthorized access to our systems or networks; reverse engineer, decompile, or disassemble the Services; circumvent rate limits or security measures; or use the Services in any manner that could damage, disable, or impair our infrastructure. Violation of this policy may result in immediate termination of your account.

Billing and Payments

Certain features of the Services require payment. You agree to pay all fees associated with your selected plan in accordance with the pricing published on our website or as otherwise agreed in writing. Fees are non-refundable except as required by law or as explicitly stated in these Terms. We may change our pricing with 30 days’ advance notice. Failure to pay may result in suspension or termination of your access to the Services.

Intellectual Property

TrueCheck and its licensors retain all right, title, and interest in the Services, including all intellectual property rights. Nothing in these Terms grants you any right to use TrueCheck’s trademarks, logos, or brand features without prior written consent. You retain ownership of any data you submit through the Services, and you grant TrueCheck a limited license to process such data solely as necessary to provide the Services.

Limitation of Liability

To the maximum extent permitted by law, TrueCheck and its affiliates, officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunities, arising out of or related to your use of the Services. Our total aggregate liability for any claim arising under these Terms shall not exceed the amount you paid to TrueCheck in the twelve (12) months preceding the claim.

Termination

Either party may terminate these Terms at any time by providing written notice. TrueCheck may suspend or terminate your access to the Services immediately if you breach these Terms or engage in conduct that we determine, in our sole discretion, to be harmful to other users, third parties, or TrueCheck. Upon termination, your right to use the Services will cease immediately, and we may delete your account data in accordance with our data retention policies.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of laws principles. Any disputes arising under these Terms shall be resolved exclusively in the state or federal courts located in Wilmington, Delaware. You agree to submit to the personal jurisdiction of such courts.
